Why does every merger doc need a 30 page disclosure schedule for a $40k deal?
I did a small agency acquisition in Cleveland last month and the seller's lawyer insisted on the same disclosure bulk as a $2M deal, so now I'm wondering if anyone else pushes back on boilerplate sized by ego, not risk, or do you just eat the $300/hour and sign?
I read somewhere that a lot of these schedules are just copy-paste from a firm's master template, so the size has zero to do with your actual deal size. Your mileage may vary, but I've started asking them to strike anything that doesn't apply and it's saved me a few bucks.
