Everyone says a simple LLC is enough but our client's $15k contract got held up over state registration.
We filed in Delaware but the client operates in California, so their legal team flagged it last month and we had to rush a foreign qualification.

Totally agree about "doing business" meaning just one big client. I read a legal blog that said states like California look at contract size, not just physical presence. A single $15k deal can trigger the need to register there.

That "simple LLC is enough" advice is what gets people into trouble. A Delaware LLC is just a start if you work elsewhere. You have to register in any state where you actually do business, or this exact thing happens. It's basic compliance, not an extra step. Skipping it just means a bigger headache later when a client's legal team catches it.
